Terms of Service

1. The Services

AGP provides AI-powered receptionist, marketing, and customer-engagement services to local businesses. The exact scope of services for each client is defined in a separate written agreement (the "Service Agreement") signed between AGP and that client. Where these Terms and a Service Agreement conflict, the Service Agreement controls.

2. Eligibility and acceptable use

You must be at least 18 years old and have the authority to enter contracts on behalf of yourself or your business. You agree not to:

• Use the Services for any unlawful, fraudulent, or harmful purpose.
• Attempt to reverse-engineer, decompile, or disrupt our systems.
• Use the Services to send spam, harass others, or violate any third-party rights.
• Submit false or misleading information through any AGP form, demo, or call.
• Use our voice AI demo to record or transmit content without legal consent of all parties involved.

3. Pricing and payment

Pricing for client services is set in your Service Agreement. AGP services typically include a one-time setup fee and a recurring monthly fee. Unless your agreement states otherwise, AGP services are month-to-month and either party may cancel with [TODO: confirm notice period, e.g., 30 days] written notice. Late or unpaid invoices may result in suspension of the Services.

4. Intellectual property

All AGP software, prompts, workflows, designs, and content remain the property of AGP. We grant clients a non-exclusive, non-transferable license to use the deployed AI receptionist for their business during the term of their Service Agreement. You retain ownership of your business data, customer contact information, and any content you provide to us.

5. AI output and accuracy

Our voice AI is trained on the information you provide and operates within rules you approve. While we work hard to ensure accuracy, AI can make mistakes: generate incorrect information, misunderstand callers, or produce unintended responses. You are responsible for reviewing AI output and configuring escalation rules appropriately. AGP is not liable for AI-generated content or actions taken in reliance on it, except as required by law or as otherwise stated in your Service Agreement.

6. Privacy

Use of the Services is also governed by our Privacy Policy, which explains what we collect, how we use it, and your rights. AGP does not currently operate under HIPAA-compliant infrastructure. Do not submit protected health information through any AGP system.

7. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. AGP DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY SPECIFIC RESULT OR REVENUE OUTCOME WILL BE ACHIEVED.

8. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AGP'S TOTAL LIABILITY ARISING FROM OR RELATED TO THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE FEES PAID BY YOU TO AGP IN THE THREE (3) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). AGP SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR LOST CUSTOMERS.

9. Indemnification

You agree to defend, indemnify, and hold harmless AGP and its team from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your misuse of the Services, your violation of these Terms, or your violation of any third-party rights or applicable laws.

10. Termination

We may suspend or terminate your access to the Services at any time, with or without notice, for conduct that we believe violates these Terms or harms other users, third parties, or AGP. Upon termination, sections that by their nature should survive (intellectual property, disclaimers, limitations of liability, indemnification, governing law) will survive.

11. Governing law

12. Changes to these Terms
